5.1. Pricing and Payment: Clients shall pay fees as per the agreed pricing structure for each service. Payments are due according to the payment schedule outlined in the project proposal or contract.

1. Ownership of Work: All original creative works, including but not limited to website designs, graphics, code, content, and any other materials created by CodeNest Creations during the course of a project, are the exclusive property of CodeNest Creations until full payment has been received from the client.

2. License to Client: Upon full payment, CodeNest Creations grants the client a non-exclusive, non-transferable license to use the completed project solely for its intended purpose and within the scope defined in the project proposal or contract.

3. Third-party Components: CodeNest Creations may use third-party components such as stock images, fonts, or software tools in the project. These components may be subject to separate licensing terms, and the client shall adhere to any relevant terms and conditions associated with these components.

4. Client-provided Content: If the client provides content, images, or other materials for use in the project, the client represents and warrants that they have the necessary rights, licenses, and permissions to use and incorporate such materials. The client retains ownership of their provided content.

5. Portfolio Display: CodeNest Creations reserves the right to display the completed project in its portfolio and promotional materials, including the CodeNest Creations website, unless otherwise agreed upon in writing with the client.

6. Infringement Claims: In the event that any part of the project is found to infringe upon the intellectual property rights of a third party, CodeNest Creations shall have the option to modify the project to avoid infringement or secure the necessary permissions and licenses. The client agrees to cooperate with CodeNest Creations in resolving any infringement claims.

7. Release of Work: Upon the client's written request and full payment for the project, CodeNest Creations shall provide the client with all project files and assets, including source code and design files. However, CodeNest Creations may retain copies of these materials for backup and archival purposes.

8. Limitation of Use: The client shall not resell, redistribute, sublicense, or otherwise transfer any of the project materials to third parties without the prior written consent of CodeNest Creations.

9. Transfer of Ownership: CodeNest Creations retains ownership of any development tools, libraries, or frameworks used in the project. These are not transferable to the client.

By using our services, you acknowledge and agree to the terms of this copyright and intellectual property clause. These terms are designed to protect the rights and interests of both CodeNest Creations and our clients.

CodeNest Creations acknowledges and respects the confidential and proprietary nature of information shared by clients. Both parties agree to treat such information with the utmost care and take all reasonable steps to prevent its unauthorized disclosure or use.

1. Definition of Confidential Information: "Confidential Information" refers to any data, information, or materials provided by clients to CodeNest Creations, including but not limited to business plans, proprietary software, intellectual property, customer lists, financial data, and any other non-public information.

2. Protection of Confidential Information: CodeNest Creations shall implement reasonable measures to protect the confidentiality of client information. This includes, but is not limited to, restricting access to confidential information only to employees or contractors who require access for the provision of services.

3. Non-Disclosure: CodeNest Creations shall not disclose, distribute, or use Confidential Information for any purpose other than fulfilling the obligations under the agreement. Confidential Information shall not be disclosed to any third party without the prior written consent of the client.

4. Return or Destruction: Upon the termination of the agreement or at the client's request, CodeNest Creations shall promptly return or securely destroy all physical and electronic copies of Confidential Information, including any backups.

5. Exceptions: The obligations of confidentiality shall not apply to information that:

   • Was already in the public domain at the time of disclosure.

   • Becomes part of the public domain through no fault of CodeNest Creations.

   • Is independently developed by CodeNest Creations without reference to or use of the client's Confidential Information.

   • Is required to be disclosed by law or a valid court order. In such cases, CodeNest Creations shall notify the client of the legal requirement to disclose the information.

6. Survival: The confidentiality obligations shall survive the termination of the agreement and continue in force indefinitely.

By using our services, you acknowledge and agree to the terms of this confidentiality clause. Both parties understand the importance of preserving the confidentiality of sensitive information and will take all necessary precautions to ensure its protection.

CodeNest Creations shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if CodeNest Creations has been

advised of the possibility of such damages, resulting from:

1. The use or inability to use our services. Unauthorized access to or alteration of your data, content, or transmissions.

2. Statements or conduct of any third party on our platform.

3. Any other matter relating to our services.

In no event shall CodeNest Creations's total liability to you for all damages, losses, and causes of action exceed the amount paid by you to CodeNest Creations for the specific service giving rise to the liability.

This limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction. You acknowledge and agree that CodeNest Creations would not be able to offer its services on an economically reasonable basis without these limitations of liability.
